{"id":2424,"date":"2016-04-04T00:00:00","date_gmt":"2016-04-04T00:00:00","guid":{"rendered":"https:\/\/armando.info\/?p=2424"},"modified":"2016-04-04T00:00:00","modified_gmt":"2016-04-04T00:00:00","slug":"pedro-torres-ciliberto-and-the-financial-flip-to-control-the-insurance-company-seguros-la-previsora","status":"publish","type":"post","link":"https:\/\/armando.info\/en\/pedro-torres-ciliberto-and-the-financial-flip-to-control-the-insurance-company-seguros-la-previsora\/","title":{"rendered":"Pedro Torres Ciliberto and the financial flip to control the insurance company Seguros La Previsora"},"content":{"rendered":"\n<p class=\"wp-block-paragraph\">The \r\nbanking mini-crisis of late 2009 affected a group of small banks (Canarias, \r\nBol\u00edvar, Confederado and Banpro) in the hands of investors, who considered \r\nthemselves close to the Chavez regime until then. Ricardo Fern\u00e1ndez Barrueco, \r\ncalled the Tsar of Mercal (food market), stood out among all of them, and Pedro \r\nTorres Ciliberto was second, an always controversial businessman who is usually \r\nlinked, by a friendship relationship, with the former vice president and former \r\nminister of defense, Jos\u00e9 Vicente Rangel.<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">Within \r\ntwelve months, that business group \u2014formed on the go from individual initiatives \r\nthat intertwined\u2014 was involved in a booming campaign of company acquisitions. \r\nNot only the four banks above indicated had been under the control of the group, \r\nit had also paid the down payment for the telecommunications operator Digitel, \r\nand was about to complete the purchase of Banco Nacional de Cr\u00e9dito (BNC) of \r\nJos\u00e9 Mar\u00eda Nogueroles. Julio Herrera Velutini, who had just acquired Helm Bank \r\nand Banco Real, also participated in this operation.<\/p>\n\n\n<p class=\"wp-block-paragraph\">That \r\nassault on the financial sector was disrupted in the end by a political \r\nobstacle, the nature of which remains unknown but is anecdotally attributed to \r\nthe grudge that Superintendent of Banks Edgar Hern\u00e1ndez Behrens had against the \r\nbusiness group. He was supported by his brother-in-law, former captain and \r\nformer governor Ronald Blanco Lacruz, to actively prevent the closing of those \r\ntransactions.<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">The \r\nofficial version established that the purchase of the banks had been carried out \r\nwith cross-ownership among them, many times without being validated with \r\nexchanges of securities for shares. Even worse, these entities were giving \r\nmassive funds, without the corresponding guarantee considerations to companies \r\nlinked to the new shareholders.<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">On \r\nNovember 19, 2009, the then Minister of Finance Ali Rodriguez Araque announced \r\nthe open intervention of the banks, but a week later, he announced the closure \r\nand liquidation of two of them. In the end, they gathered together in the \r\ncritical mass for the new state bank Banco Bicentenario.<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">On \r\nDecember 11, President Hugo Ch\u00e1vez himself announced the nationalization of \r\nSeguros La Previsora, then owned by Pedro Torres Ciliberto. On December 19, a \r\nwarrant of arrest was issued against him, and all his assets were confiscated \r\nunder judicial order. In May 2010, based on evidence that he was a fugitive, \r\nproceedings were initiated to request his extradition from USA, where he still \r\nlives.<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">The \r\nnationalization of La Previsora ??was legalized by a decree of March 2010, \r\nordering the merger of its operations with the recently created Bolivariana de \r\nSeguros, which did not materialized, and another decree of August of the same \r\nyear, whereby Chavez declared the shares of the company \"of public \r\ninterest\".<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">Now \r\nthe leaked papers of the Panamanian law firm Mossack Fonseca (MF) show evidence \r\nthat the nationalization and exile might not been a surprise for Torres \r\nCiliberto but that he might even counted on them when he negotiated the purchase \r\nof Seguros La Previsora.<\/p>\n\n\n<h2 class=\"wp-block-heading\">Contact in Galicia<\/h2>\n\n\n<p class=\"wp-block-paragraph\">Founded \r\nin 1914, La Previsora is one of the most important and renowned brands in the \r\nsector in Venezuela. Last December, under state management, the company ranked \r\nfifth among 48 companies in the monthly ranking prepared by the Superintendence \r\nof Insurance Activity, with a little above 17,000 million bolivars in premiums \r\ncharged.<\/p>\n\n\n<figure class=\"wp-block-image size-medium\"><img loading=\"lazy\" decoding=\"async\" width=\"500\" height=\"375\" src=\"https:\/\/armando.info\/wp-content\/uploads\/2020\/12\/PP-23.jpg\" alt=\"\" class=\"wp-image-52123\"\/><\/figure>\n\n\n<p class=\"wp-block-paragraph\">In \r\nthe first decade of the 21st century, the majority shareholding of Seguros La \r\nPrevisora ??was under the control of Freeway Global Ltd, a company incorporated \r\nin November 2000 in the jurisdiction of the British Virgin Islands. Freeway \r\nbelonged then to Juan Carlos Maldonado, member of the family from the state of \r\nT\u00e1chira that was the founder of La Previsora \u2014also owner of the famous farm Hato \r\nEl Alto del Apure, until its confiscation\u2014 with a group of partners that \r\nincluded Alonso Maldonado Blaubach and Alberto Quintana \r\nBenshimol.<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">In \r\n2005, Freeway controlled around 65% of Seguros La Previsora. However, Maldonado \r\ncontinued to purchase shares. That allowed him to have nearly 90% of the company \r\nin 2009, as well as other legal entities of the financial conglomerate of La \r\nPrevisora, through which he managed to control Banco Confederado in 2007, a \r\nregional entity of Margarita acquired by the Saleh family.<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">Maldonado, \r\nwho is the president and owner of Iberoamericana de Seguros since 2011, \r\neffectively left Freeway Global in May 2008, although his closed relatives and \r\nfriends remained on the board of directors until it was sold to Pedro Torres \r\nCiliberto.<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">In \r\nJuly 2009, the 50,000 shares of Freeway \u2014a company that has in turn the majority \r\nshareholding of Seguros La Previsora\u2014 do no longer belong to the Bearer and pass \r\nto Lionesse Real Estate Corporation. Lionesse is a company of Pedro Torres \r\nCiliberto, registered in Panama in 2008 by Mossack Fonseca, with directors \r\nprovided by the firm itself. Lionesse paid on June 15, 2009, with Venezuelan \r\ndebt securities denominated in US dollars, of Freeway \r\nshares.<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">As \r\nindicated below, this was not the key piece that MF put on the table to build \r\nthe legal-financial structure from which Torres Ciliberto would take over La \r\nPrevisora. Though it is one of the reasons explaining why an MF file contains \r\nimportant documents about that transaction.<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">In \r\nthe papers of Mossack Fonseca it is verified that on July 6, 2009, when Torres \r\nCiliberto assumed control over La Previsora, two other changes took place in \r\nFreeway Global. First, it remained with one director only, Jes\u00fas Alberto \r\nAbilahoud, a renowned business partner of Torres; second, its new address was in \r\nthe Galician capital of A Coru\u00f1a.<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">A \r\nyear later, Abilahoud disappeared from the Board of Directors. He is replaced by \r\nManuel Mari\u00f1o Gonz\u00e1lez, a Galician businessman with investments in the fishing \r\nindustry of the state of Sucre (northeast coast of Venezuela). In March 2010, \r\nMari\u00f1o signed a certificate for 50,000 shares of Freeway, whereby he ratified \r\nthat the shares are from Lionesse Real Estate Corporation.<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">What \r\nwas the reason of the Galicianization of Freeway i.e. the majority shareholding \r\nof Seguros La Previsora?<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">The \r\nkey is in the incorporation of a new player in the plot, Jos\u00e9 \r\nFraga.<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">Fraga, \r\na Spanish lawyer and adviser, is a nephew of the legendary Manuel Fraga \r\nIribarne, founder of the Popular Party (PP) of Spain and a long-time president \r\nof the Xunta de Galicia. In October 2009, magazine Am\u00e9rica Econom\u00eda introduced \r\nhim as leader of a group of Spanish investors that, together with the Venezuelan \r\nJulio Herrera Velutini, intended to buy an important participation of Banco \r\nNacional de Cr\u00e9dito (BNC) from Jos\u00e9 Mar\u00eda Nogueroles. Fraga, as the publication \r\nanticipated, was to have \"a strictly financial position in the structure of the \r\nbank. The commitment is to enter and retire two years after.\"<\/p>\n\n\n\t\t\t\t<figure class=\"wp-block-embed is-type-rich is-provider-embed-handler wp-block-embed-embed-handler wp-embed-aspect-16-9 wp-has-aspect-ratio\"><div class=\"wp-block-embed__wrapper\">\n\t\t\t\t<iframe loading=\"lazy\" title=\"Venezuela CICPC allana residencias de banqueros corruptos\" width=\"500\" height=\"375\" src=\"https:\/\/www.youtube.com\/embed\/xgl-IIzRk0U?feature=oembed\" frameborder=\"0\" allow=\"accelerometer; autoplay; clipboard-write; encrypted-media; gyroscope; picture-in-picture; web-share\" referrerpolicy=\"strict-origin-when-cross-origin\" allowfullscreen><\/iframe>\n\t\t\t\t<\/div><\/figure>\n\t\t\t\t\n\t\t\t\t \n\n<p class=\"wp-block-paragraph\">But \r\nbefore that operation, which never consolidated, and outside the radar range of \r\nthe business press, Fraga had entered into a consulting contract with Lionesse. \r\nThe contract, dated June 29, 2009, and with the \"Highly Confidential\" sign, \r\nprovides that Fraga, on behalf of his company FAEB Consulting, will carry out a \r\nproject to design a legal structure to accompany the investment of Lionesse in \r\nSeguros La Previsora.<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">That \r\nJune 2009 \u2014just days before Torres Ciliberto acquired La Previsora, and just \r\nfive months prior the banking crisis to come, the document continues listing the \r\nparticular conditions of the project. It refers to one that is particularly \r\nstriking: the legal and tax structure arising out of the consulting should \r\nprotect \"the economic interests of LIONESSE REAL ESTATES and its shareholders \r\nfrom a potential expropriation of LA PREVISORA by the Venezuelan government \r\n\".<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">Furthermore, \r\nthe document foresees that the corporate framework assembled for the \r\nshareholding control of La Previsora ??will be internationalized. Although it \r\ndoes not rule out options like Malta or the Netherlands, it specifically \r\nmentions the jurisdiction of the United States of America, therefore, \"study the \r\npossible emigration of the shareholders of LIONESSE REAL ESTATES to that \r\ncountry, as a result of the expropriation and, if applicable, expulsion from \r\nVenezuela of some of the shareholders mentioned.\"<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">Fraga \r\nestimates his fees in approximately 550 million bolivars, payable by 70,000 \r\nEuros cash and the transfer of 12% of the shares of Freeway, the coveted company \r\nholding La Previsora.<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">In \r\nMarch 2012, Jos\u00e9 Fraga appeared in the records of Tortola, British Virgin \r\nIslands, as the sole director of Freeway Global \r\nLtd.<\/p>\n\n\n<h2 class=\"wp-block-heading\">How to Be Both Payer and Payee<\/h2>\n\n\n<p class=\"wp-block-paragraph\">Whether \r\nit was his intuition or access to privileged information, the truth is that not \r\neven a year later, the prediction fulfilled: in January 2010, La Previsora ??had \r\nbeen expropriated and Torres Ciliberto was in exile in the \r\nUSA.<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">In \r\nthe meantime, the execution of the legal and tax structure that Fraga promised \r\nfrom Spain had to be completed.<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">In \r\nthis stage Mossack Fonseca came to play a role. Neither Torres Ciliberto nor his \r\ncorporate fronts Lionesse or Freeway appear as clients of \r\nMF.<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">Mossack \r\nFonseca\u2019s formal client is a law firm in Coral Gables, Miami: Gonz\u00e1lez &amp; \r\nRodr\u00edguez PL.<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">That \r\nlaw firm is the settlement agent in Florida of the Torres Pic\u00f3n Foundation Corp, \r\na legal entity of Torres Ciliberto, where his wife, Blanca Cecilia Pic\u00f3n de \r\nTorres, their son, Pedro Torres Pic\u00f3n, and even one of the partners of the law \r\nfirm, Humberto Luis Rodr\u00edguez, participate as directors. <\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">In \r\n2010 - when La Previsora ??had already been nationalized in Venezuela - the law \r\nfirm Rodr\u00edguez &amp; Gonz\u00e1lez asked Mossack Fonseca\u2019s office in Miami to obtain \r\n\"for its client\" a company in Panama dating from 2008. Finally, MF offered a \r\ncompany named Brookline Business S.A., a shelf company (companies that MF \r\nincorporates in different jurisdictions and stores on their shelves to then \r\noffer them to its clients in a timely manner with an \u2018a la carte\u2019 date of \r\nincorporation). <\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">In \r\nan e-mail dated November 10, 2010, Irene Andreve, from the \"Corporations\" \r\ndepartment of Mossack Fonseca, confirmed Olga Santini, head of the Mossack \r\nFonseca office in Miami, the \"acquisition\" price of Brookline Business S.A.: \"$ \r\n2,660.34 for the representative and $ ,3048.75 for the \r\nprofessional.\"<\/p>\n\n\n<p class=\"wp-block-paragraph\">Incidentally, \r\nthe law firm Gonz\u00e1lez &amp; Rodr\u00edguez PL, which provides services to Torres \r\nCiliberto in Miami, will register a Brookline Business C.A. in Florida. \r\n<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">From \r\nthe acquisition of Brookline Business C.A. in Panama for an unidentified \r\ncustomer, extraordinary things began to happen. As of December 2008, a series of \r\nreal estate in Venezuela was sold at ridiculous prices to Brookline Business - \r\nthe recently incorporated Panamanian company -, presumably by Pedro Torres \r\nCiliberto, but on behalf of different legal entities. For example, Empresa \r\nT\u00e9cnica Urbanizadora C.A. sold 110 hectares (271.81 acres) of land in Guamito, \r\nstate of Barinas, for Bs. 70,000; Bienes 910 C.A. sold a plot and a house in the \r\nPueblo Viejo area in El Morro de Puerto La Cruz, state of Anzo\u00e1tegui; Industria \r\nLa Raisa 3 C.A. sold a plot in the exclusive Oripoto area, in the southeast of \r\nCaracas; Grupo Empresarial Tamanaco C.A. sold a plot of land on Calle Londres in \r\nLas Mercedes area of Caracas; and Organizaci\u00f3n TPF sold a <BR>3,159-sq m \r\n(34,003.19 sq ft) lot in Margarita.<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">People \r\nclosed to Torres Ciliberto signed as representatives of the selling companies: \r\nLuz Marina Guti\u00e9rrez, Yolanda Salazar Palma, and Mar\u00eda Inmaculada Vivas \r\nRivas.<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">Two \r\napartments of The Four Ambassadors Condominium, on Brickell Avenue, Miami, also \r\nbecome the property of Brookline Business, which sold them in February \r\n2014.<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">Through \r\nan agreement signed on September 13, 2012, Vladimir Gessen assigned to Brookline \r\nBusiness his 50% stake in the company Diario de CCS LLC, a company registered in \r\nFlorida just a month before.<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">But \r\nthe most notable event in the history of the successful Panamanian company \r\nBrookline Business is confirmed when the 50,000 shares of Freeway Global Ltd, \r\nholder of the majority shareholding in Seguros La Previsora, appear in its name. \r\nThere are the same 50,000 shares in the British Virgin Islands that Manuel \r\nMari\u00f1o certified in 2010 in an Incumbency Report, as property of Lionesse Real \r\nEstate Corporation.<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">On \r\nJuly 7, 2009, attorney George Allen - a member of the Board, and one of the \r\ndirectors that Mossack Fonseca usually appoints for his shelf companies- signed \r\nin the name of Brookline Business C.A. a \"Loan Participation Agreement\" with \r\nBanreal Holding SLU, a company registered in Madrid, Spain, in the name of which \r\nPedro Torres Ciliberto acts as \"Joint Administrator\".<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">For \r\nthis contract, entered into in Panama, Brookline Business sold to Banreal \r\nHolding SLU of Torres Ciliberto, the 50,000 shares of Freeway Global, which in \r\nturn controls the majority of Seguros La Previsora. The seller, Brookline \r\nBusiness, also agreed to lend to the buyer, Banreal, the amount of 730 million \r\ndollars, amount in which the transaction is valued.<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">In \r\nother words, the prodigy of legal and financial engineering made Torres \r\nCiliberto buy from Brookline Business the shares that he himself had previously \r\nbought from Maldonado and transferred to Brookline Business through a concept \r\nthat does not appear in the papers of Mossack Fonseca. <\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">Note \r\nthat, according to the records of the British Virgin Islands, this occurred just \r\na day after Jesus Alberto Abilahoud, partner of Torres Ciliberto, was in charge \r\nof the Board of Freeway Global Ltd.<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">The \r\ncontract establishes a 10-year term, with a possible 2-year extension, to \r\namortize the loan, which could eventually be paid by capitalizing the debt. But \r\na very ad hoc clause explicitly warns that \"in the case of the expropriation of \r\nLa Previsora ??by the Government of Venezuela, the Lender shall be paid\" (i.e. \r\nBrookline Business) \"the compensation it charges for such \r\nexpropriation.\"<\/p>\n\n\r\n\n<p class=\"wp-block-paragraph\">An \r\nattempt was made to arrange an interview for this report with Pedro Torres \r\nCiliberto, through his lawyers and his secretary in Caracas.
